Announcement on the sale of minority shareholding of KB SmartSolutions in Platební instituce Roger a.s.

Komerční banka, a.s., with its registered seat at Praha 1, Na Příkopě 33/969, Zip Code 114 07, Id. No. 45317054, registered in the Commercial Register maintained by the Municipal Court in Prague, section B, file No.1360 (hereinafter also KB or the Bank), announces that

Company KB SmartSolutions, s.r.o., with its registered seat at Praha 1, Václavské náměstí 796/42, Zip Code 110 00, Id. No. 02021161, (hereinafter KB SmartSolutions), a fully owned subsidiary of Komerční banka, concluded a contract with Orbian Management Ltd. with its registered seat at 2nd Floor, 34-37 Liverpool Street, London EC2M 7PP, United Kingdom, company number 03522614 (hereinafter only Orbian), on a sale of its 24.83% stake in Company Platební instituce Roger a.s., with registered seat at Merhautova 327/1, 613 00 Brno – Černá Pole, Id. No. 01729462 (hereinafter Platební instituce Roger).

KB SmartSolutions invested in Platební instituce Roger a.s. in December 2020. Platební instituce Roger fully owns two subsidiaries: (i) Invoice Financing s.r.o., and (ii) Roger Finance s.r.o. Platební instituce Roger connects investors with companies which seek fast financing of their long due date receivables. It also provides a supply chain financing platform for large customers.

The closing of the transaction is subject to the fulfilment of several conditions precedent, including regulatory approvals, and is expected during the first half of 2025. Komerční banka intends to continue its cooperation with Platební instituce Roger after the closing of the transaction. The acquisition of Platební instituce Roger by Orbian, a leading global provider of supply chain finance services, will facilitate further international expansion and growth of Platební instituce Roger's services.
